These terms are an agreement between you and Adam R. Cagle (“we”), the maker of Nani Accounting (“Nani”). By downloading, installing or using Nani, you agree to them. If you use Nani for a business, you agree for that business. Our privacy policy explains how information is handled.
1. Purchasing Nani
Nani’s standard price is $79 USD, paid once. A $30 launch discount is available on the first 100 purchases, reducing the amount paid to $49 USD. The regular price remains $79; the discount ends after those purchases. A purchased license is required to work with your own company files. There is no recurring Nani subscription. Charges from an AI provider are separate.
2. Using Nani
Keep backups, and check your books and your CPA package before you rely on them.
3. Your license
A license is a one-time purchase. It lets one person or one business use the purchased version of Nani on up to 2 computers they own or control, subject to activation and these terms. Your purchase includes 12 months of updates. After that period, the version you have remains usable under your license, subject to activation and periodic verification. The end of the update period does not by itself cancel your license. This does not promise future features, a minimum support period, or compatibility with future operating systems or third-party services. Your license key carries your name and email. Please don't share it, sell it or post it; a key that's been shared may stop working in future versions. We license Nani to you; we don't sell it, and we keep all rights not granted here.
Activation and access to your records
Internet access is required for initial activation and periodic license verification. Nani checks weekly when connected. Each successful verification permits up to 60 days of offline use. There is no recurring verification or renewal fee. You can move an activation to another computer, and recover a lost key through your purchase email address.
If verification expires, your clock prevents verification, an activation is removed, or a license is suspended or cancelled, existing company files remain on your computer. You can view and back up those records and export raw data. New bookkeeping, AI operations, CPA packages and formatted report exports require an active license. An unavailable service is not itself a cancellation; successful verification restores access when the license is valid.
Your license includes access to the version you purchased under these terms. It does not include a promise that any online or third-party service will remain available indefinitely.
4. What you may not do
Don't copy Nani for others, resell or rent it, remove or bypass its licensing, or reverse engineer it except where the law allows that despite this term. Don't use Nani for anything illegal, including fraud or keeping false books.
5. Your books are yours
Everything you put in Nani belongs to you. Your company file is stored on your computer. We claim no rights to its contents and do not receive it automatically. You control exports, backups and the information shared with an AI provider. An active license allows formatted reports and CPA packages. If an activation expires or is removed, or the license is suspended or cancelled, you retain viewing, backup and raw-data export access to existing records. You're responsible for your passphrase and your backups: we can't open, recover or restore your company file.
6. Nani is a tool, not advice
Nani helps you keep your books and organize what your CPA needs. It isn't tax, legal, accounting or financial advice, and it doesn't prepare or file tax returns. Category suggestions, tax-line mappings, checklists and anything an AI says are suggestions for you and your CPA to review. You're responsible for your books, your filings and your decisions.
7. AI and other services
If you connect an AI or another service, your use of it is between you and that provider, under their terms. Any provider subscription or API usage charges are separate from your Nani license. We aren't responsible for what an AI says or for a provider's handling of what you share with it.
8. Payment and refunds
When a purchase is available, the payment processor identified at checkout processes your payment under its own terms. Prices are in US dollars and may change for future purchases. You may request a refund within 7 days of purchase by emailing support@naniaccounting.com from your purchase email address. A full refund cancels the license. A partial refund leaves it active. An open payment dispute suspends the license; if the dispute is resolved in our favor, the suspension is lifted unless another cancellation applies. A lost chargeback cancels the license. Nothing in these terms takes away refund rights required by applicable law. Access to existing records is described in section 3.
9. Updates and custom versions
Nani checks for new versions and installs them only when you click Install. Updates may add, change or remove features. Updates released within 12 months of purchase are included. Custom versions are discretionary, separately scoped and priced builds. Any custom work requires its own agreed scope and terms; a request does not obligate us to provide it.
10. No warranty
NANI IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T PROMISE NANI WILL BE ERROR-FREE OR THAT ITS RESULTS WILL BE CORRECT FOR YOUR SITUATION. Some places don't allow these exclusions, so some may not apply to you.
11. Limit of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE AREN'T LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, TAXES, PENALTIES OR INTEREST, ARISING FROM YOUR USE OF NANI, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT NANI IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENSE, OR US$50 IF YOU PAID NOTHING.
12. Ending these terms
You can stop using Nani at any time. If you break these terms, your license ends and you must stop licensed bookkeeping operations. Your books remain yours, with the record-recovery access described in section 3. Sections 5, 6, 10, 11 and 13 continue after the terms end.
13. Law and disputes
These terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Oregon, unless the law where you live gives you the right to bring a claim in your local courts. Please email us first; most problems can be fixed quickly.
14. Changes to these terms
We may update these terms. The date above shows the latest version. Changes apply to versions of Nani released after the change; the terms you agreed to when you bought your license continue to cover it.
